APEX ECOM SOLUTION is an independent marketplace management service provider operating from R.P.S More, Patna, Bihar, India. We support sellers across Amazon, Flipkart, Meesho and other eCommerce marketplaces with services that include account management, catalog and listing operations, advertising, inventory support, performance monitoring and compliance assistance.

We are not affiliated with, endorsed by or owned by Amazon, Flipkart, Meesho or any other marketplace. All marketplace trademarks belong to their respective owners and are referenced solely for descriptive purposes.

Our services are intended for legally registered businesses and authorized individuals aged 18 years or above. By engaging APEX ECOM SOLUTION, you confirm that you have the legal authority to bind the entity you represent and to grant the access required to deliver the contracted services.

The exact scope of each engagement, including deliverables, timelines, KPIs and pricing, is defined in a separate written proposal, statement of work or service agreement executed between APEX ECOM SOLUTION and the client. The website and marketing material provide general descriptions only and do not constitute a binding offer.

Where any conflict exists between the website content and a signed agreement, the signed agreement prevails.

To enable effective service delivery, the client agrees to:

• Provide accurate business, brand, product and marketplace information.
• Grant appropriate sub-user access on relevant marketplace panels.
• Maintain valid marketplace registrations, GST registration and any category approvals applicable to the seller.
• Honour pricing, timelines and approvals required for catalog uploads, advertising launches and operational changes.
• Comply with all applicable laws and the policies of each marketplace.

Delays caused by missing inputs, approvals or marketplace-side restrictions are outside the control of APEX ECOM SOLUTION.

Service fees, payment cycles, taxes and any applicable retainer or performance components are documented in the signed agreement. Unless otherwise agreed in writing:

• Invoices are payable within seven (7) calendar days of issue.
• All fees are exclusive of GST, which will be charged at applicable rates.
• Late payments may attract suspension of services and reasonable interest as permitted under law.

APEX ECOM SOLUTION delivers services in a professional, diligent and data-driven manner. However, marketplace outcomes such as sales, search rank, advertising performance, store reviews and approvals are influenced by multiple factors including marketplace policies, competition, pricing, inventory, demand patterns and platform algorithm changes. We do not guarantee any specific financial result, ranking, approval or sales figure unless explicitly stated in writing.

Both parties agree to treat the other's non-public business information as confidential and to use it strictly for the purpose of the engagement. Confidentiality obligations survive the termination of the engagement for a period defined in the service agreement.

All website content including text, graphics, logos, layouts and code is owned by APEX ECOM SOLUTION or used under licence and is protected by applicable intellectual property laws. You may not copy, modify, distribute or commercially exploit any content without prior written consent.

Deliverables created for the client under a signed engagement (such as listings, A+ content and creatives) are transferred to the client as per the terms of that engagement.

Either party may terminate an engagement in accordance with the notice and exit terms defined in the signed agreement. Upon termination, APEX ECOM SOLUTION will hand over reports, credentials and work-in-progress reasonably in our possession, subject to settlement of dues.

To the maximum extent permitted by law, APEX ECOM SOLUTION's aggregate liability arising out of or in connection with any engagement shall not exceed the total professional fees paid by the client for the three (3) months immediately preceding the event giving rise to the claim. APEX ECOM SOLUTION is not liable for indirect, incidental, consequential or punitive losses including loss of profit, revenue, goodwill or data.

These Terms and any related engagement shall be governed by the laws of India. The courts at Patna, Bihar shall have exclusive jurisdiction over any dispute, subject to amicable resolution efforts including mediation.

We may update these Terms periodically. The revised version will be posted on this page with an updated "Last Updated" date. Continued use of our website or services after the change constitutes acceptance of the revised Terms.
